Player A has less life than player B, controls no tokens, and has 2 equipment pieces. Player A declares Down but not out at player B, if player B controls a glory seeker as one of his equipment pieces, is there a priority window for player B to activate the instant ability of glory seeker to draw a card thereby bringing his equipment count down to 2 and negating one of the conditions on down but not out?

Yes.
Down but not out states it is an 'On Attack' trigger. When the card is played and in layer step (not resolved) it can be responded to and Player B can make the equipment count the same for both players.
Still remember that you need to have less of each. So player B needs to have at least one token.
What happens if you respond in the attack step?
Down but not out can be responded before it's on attack trigger happens which will check if all 3 conditions are met....
