Probably not the most efficient way but in case you don't get a better answer, I would put the USA flag on top and get it looking decent with warp and scroll through blending modes to see what is best. In addition I might clone or copy the background color of the background to make the original flag logo unnoticeable but keep the texture of the flag and probably make a masked layer isolating the flag. And mess with the opacities, definitely of the USA flag so the shadows etc of the original show up. And if that didn't get it right I would probably manipulate the color of the flag or perhaps add a white overlay layer with low opacity and mess with the blending modes.
